Onboarding Services Terms
LinkSquares Overview
If Client's Order Form includes the purchase of an onboarding services package that references these Onboarding Services Terms ("Onboarding Terms"), these Onboarding Terms are incorporated into and made part of the Agreement (as defined in the applicable Order Form). To the extent there is any conflict between these Onboarding Terms and the Agreement, these Onboarding Terms shall control with respect to the subject matter contained herein. All capitalized terms used but not defined in these Onboarding Terms shall have the meanings ascribed to them in the Agreement. These Onboarding Terms apply only where Client has purchased the applicable onboarding services package on the Order Form and all fees and costs for the purchased onboarding services are as set forth on the applicable Order Form.
Onboarding Services
LinkSquares agrees to use commercially reasonable efforts to provide the following onboarding services to Client during the Services Period (as defined below) if purchased by Client on the applicable Order Form and provided Client requests such services within 60 days of the Effective Date on the applicable Order Form (the “Onboarding Services”):
Implementation Consultant
LinkSquares will assign an Implementation Consultant (“IC”) to Client’s account during the Services Period (as defined below). LinkSquares may, in LinkSquares’ sole discretion, re-assign resources or provide additional resources to support delivery of the Onboarding Services outlined in these Onboarding Terms.
Configuration Services
LinkSquares will, in accordance with Client requirements and System capabilities, assist Client with configuration of the System for up to the number of hours purchased by Client on the applicable Order Form. Configuration support may include:
- Contract Intelligence: document ingestion via one of LinkSquares’ document ingestion mechanisms (a list of ingestion mechanisms can be provided upon request), file analysis to identify duplicates based on file hash, and/or user set-up.
- Pre-Signature: assisting with template and/or workflow set-up, clause library set-up, prompt-library set-up, and/or user set-up.
Onboarding Meetings
LinkSquares will, on Client’s request and subject to availability during the Services Period, hold, up to the number of onboarding meeting hours purchased by Client on the applicable Order Form. Onboarding meetings can be used for configuration recommendations, power user training, or end-user training. End-user training is limited to three (3) hours regardless of the number of hours purchased on the applicable Order Form.
Additional Terms
- All Onboarding Services will be performed remotely and will be delivered in English during LinkSquares’ Standard Support Hours, unless Client and LinkSquares agree otherwise in a separately signed writing. If LinkSquares agrees, in LinkSquares’ sole discretion, to provide any on-site services, such on-site services may be subject to additional fees. Client agrees to reimburse LinkSquares for LinkSquares’ reasonable, pre-approved costs and expenses incurred in connection with providing the Onboarding Services on-site and any invoices or other requests for reimbursement will be due and payable within thirty (30) days of such request or invoice.
- Client agrees to provide LinkSquares with the resources (including Client team members), documentation, and/or information (“Requested Items”) reasonably requested by LinkSquares in a timely manner. Client requirements must be in accordance with the System capabilities, and LinkSquares is not responsible for Onboarding Services performed in accordance with Client’s requirements. Client understands and agrees that any failure to make the necessary Requested Items available to LinkSquares in a timely manner may result in a delay of the Onboarding Services. If the delivery of the Onboarding Services is delayed due to Client’s failure to make the necessary Requested Items available to LinkSquares in a timely manner, or Client’s failure to perform Client’s obligations, LinkSquares may pause service delivery and/or re-assign resources.
- LinkSquares will provide the Onboarding Services until the earlier of (i) Client’s exhaustion of the configuration services and onboarding meeting hours purchased on the applicable Order Form or (ii) one-hundred and eighty (180) days from the Effective Date on the applicable Order Form (the “Services Period”). All unused hours expire automatically at the end of the Services Period and are non-refundable. No carryover or rollover of unused hours is permitted. LinkSquares may, in LinkSquares’ sole discretion, agree to extend the Services Period or provide additional services, which may be subject to additional fees.
- LinkSquares will not perform services that constitute LinkSquares providing legal advice. Client acknowledges and agrees that the Onboarding Services provided are based on Client requirements and do not constitute legal advice or counsel.
- As used in these Onboarding Terms, “Third Party Products” means products provided by third parties that interoperate with the LinkSquares System, or are used in connection with the Onboarding Services provided under this applicable Order Form. Client will provide LinkSquares with access to Third Party Products and all Third Party Products API keys as necessary for the provision of the Onboarding Services. If Client provides LinkSquares with access to any Third Party Products, Client is responsible for ensuring LinkSquares has all rights and privileges necessary to access any Third Party Products and LinkSquares agrees that LinkSquares will only access such Third Party Products for the purposes of providing the Onboarding Services. Client is solely responsible for Third Party Products, including all activities that occur on such Third Party Products. LinkSquares is not responsible for Third Party Products, or any issues arising from or related to the Third Party Products, including without limitation any Third Party Products system outage. Client will promptly notify LinkSquares once Client is aware of any updates and/or upgrades to Third Party Products if such updates and/or upgrades will impact LinkSquares’ provision of the Onboarding Services.
Out-of-scope & Additional Services
Services beyond the scope of the Onboarding Services described in these Onboarding Terms will require a separate Order Form agreed to and executed by Client and LinkSquares and may be subject to additional fees.
