Question: We are negotiating a contract with a new customer based in Louisiana, but they are unwilling to agree to venue in Manhattan per Ts and Cs. They are only willing to stipulate to Louisiana. As a compromise, they have offered to remain silent on the venue. What is your advice and suggestion on this?

Answer: So short answer is if it were me, I would take their compromise and remain silent on it and then just rely on that if it's gonna be a federal issue, then federal rules is civil procedure to determine where a proper venue will lie. It at least gives you optionality so you're not automatically getting hometown in Louisiana.
